NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into as of the date of acceptance by and between the Disclosing Party and the Receiving Party, as defined below.

1. PARTIES

  • Disclosing Party: Wonova, LLC

  • Receiving Party: Any individual or entity accessing the confidential materials (the "Deck") provided by Wonova, LLC.

2. PURPOSE Wonova, LLC agrees to share certain confidential and proprietary information (the "Confidential Information") with the Receiving Party for the sole purpose of evaluating potential business opportunities.

3. CONFIDENTIAL INFORMATION Confidential Information includes but is not limited to:

  • Business plans, strategies, and financial projections

  • Product details, intellectual property, and technological insights

  • Market research, customer insights, and operational methodologies

  • Any other non-public information disclosed in connection with the Deck

4. OBLIGATIONS OF THE RECEIVING PARTY

The Receiving Party is liable for any conflicts of interest that may arise from their access to the Confidential Information and must disclose any potential conflicts to Wonova, LLC prior to accessing the Deck. The Receiving Party agrees to:

  • Maintain the confidentiality of the information and not disclose it to third parties.

  • Use the Confidential Information solely for the purpose of evaluating the business opportunity.

  • Not copy, distribute, or otherwise use the Confidential Information without prior written consent from Wonova, LLC.

  • Take reasonable measures to protect the confidentiality of the disclosed information.

  • Make no attempt to reverse engineer, decompile, or disassemble the service, concepts, or product disclosed by Wonova, LLC.

5. EXCLUSIONS This Agreement does not apply to information that:

  • Is publicly available at the time of disclosure.

  • Becomes publicly available through no fault of the Receiving Party.

  • Is lawfully obtained from a third party without breach of this Agreement.

6. DURATION The obligations under this Agreement shall remain in effect for a period of [X] years from the date of disclosure or until the Confidential Information is no longer considered confidential.

7. NO LICENSE OR OWNERSHIP TRANSFER Nothing in this Agreement grants the Receiving Party any rights to patents, trademarks, copyrights, or trade secrets of Wonova, LLC.

8. LEGAL REMEDIES Any unauthorized disclosure or use of Confidential Information may result in legal action, including but not limited to injunctive relief and damages.

9. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of New York.

10. ACCEPTANCE

By accessing this information, the Receiving Party acknowledges and accepts this Non-Disclosure Agreement. By accessing the Deck, the Receiving Party acknowledges and agrees to the terms of this Non-Disclosure Agreement. By accessing the Deck, the Receiving Party Receiving Party explicitly accepts and agrees to be bound by the terms of this Agreement.
